Terms and conditions for using Total Management NYC services and PropertyPulse™ platform.

1. Acceptance of Terms
By accessing or using Total Management NYC's website, PropertyPulse™ platform, or property management services ("Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.
2. Description of Services
Total Management NYC provides:
- Property management services for NYC co-ops and condominiums
- The PropertyPulse™ digital platform for residents, board members, and property managers
- Financial management and accounting services
- Maintenance coordination and work order management
- Board governance support and compliance management
- 24/7 emergency response services
3. User Accounts
Account Registration
To access certain features of the PropertyPulse™ platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Services
- Interfere with or disrupt the Services or servers
- Upload malicious code or content
- Impersonate any person or entity
- Collect information about other users without consent
- Use the Services to send spam or unsolicited communications
5. Property Management Services
Service Agreements
Property management services are provided pursuant to separate management agreements between Total Management NYC and building ownership (boards of directors or homeowner associations). Individual residents and unit owners access services through their building's management arrangement.
Work Orders and Maintenance
Service requests submitted through PropertyPulse™ are subject to building policies, management agreements, and applicable regulations. Response times and service availability may vary based on the nature of the request and building-specific factors.
6. Financial Transactions
Payment processing through our platform is subject to our payment policies and those of our payment processors. You agree to pay all applicable fees and charges. Building-specific fees (maintenance, assessments, etc.) are governed by your building's governing documents.
7. Intellectual Property
The Services, including the PropertyPulse™ platform, website content, logos, and trademarks, are owned by Total Management NYC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
8. User Content
You retain ownership of content you submit through the Services (such as messages, documents, or photos). By submitting content, you grant us a license to use, store, and share such content as necessary to provide the Services.
9. Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL MANAGEMENT NYC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU, IF ANY, FOR USE OF THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Total Management NYC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.
13. Modifications
We reserve the right to modify these Terms at any time. We will notify users of material changes through the platform or by email. Continued use of the Services after changes constitutes acceptance of the modified Terms.
14. Termination
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason. Upon termination, your right to use the Services ceases immediately.
15. Governing Law
These Terms are governed by the laws of the State of New York without regard to conflict of law principles. Any disputes shall be resolved in the courts located in New York County, New York.
